Introduction
Welcome to ProTeams, a mobile app developed by Verdant Facilities Maintenance, LLC, a New York State company. These Terms of Use (the “Terms”) govern your use of the ProTeams app (the “App”). By using the App, you agree to be bound by these Terms.
Definitions
“Verdant” means Verdant Facilities Maintenance, LLC, a New York State company.
“App” means the ProTeams mobile app.
“User” means any individual who uses the App.
License
Verdant grants you a non-exclusive, non-transferable, limited license to use the App on a single mobile device. You may not rent, lease, lend, sell, redistribute, or sublicense the App.
Restrictions
You agree not to:
- Use the App for any illegal or unauthorized purpose.
- Modify, adapt, or hack the App.
- Reverse engineer the App.
- Remove any copyright, trademark, or other proprietary notices from the App.
- Use the App in a way that interferes with or disrupts the App or the servers or networks on which the App is hosted.
Content
The App may allow you to post, upload, or otherwise submit content (including, but not limited to, text, images, videos, and audio recordings) (the “Content”). You are solely responsible for the Content you submit. You agree that you will not submit Content that is:
- Illegal, hateful, racist, offensive, threatening, harmful, or immoral.
- Infringing on the intellectual property rights of others.
- Deceptive or misleading.
- Obscene or pornographic.
- Otherwise inappropriate or objectionable.
Verdant has the right to remove any Content from the App at any time, for any reason.
Indemnification
You agree to indemnify and hold Verdant harmless from any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the App.
Disclaimer of Warranty
THE APP IS PROVIDED “AS IS” AND VERDANT MAKES NO WARRANTIES, EXPRESS OR IMPLIED, ABOUT THE APP. VERDANT DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL VERDANT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, OR USE, EVEN IF VERDANT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions.
Entire Agreement
These Terms constitute the entire agreement between you and Verdant regarding the App and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect.
Changes to Terms
Verdant may update these Terms from time to time. You are responsible for reviewing these Terms periodically to be aware of any changes. Your continued use of the App after any changes to these Terms constitutes your acceptance of the changes.
